Ltd vs LLC: What Is the Difference?
Ltd vs LLC: the difference is that a UK private limited company (Ltd) pays Corporation Tax as a company, while a US limited liability company (LLC) is created under state law and taxed federally according to how it is classified. Both are ways to organize a business, but they sit under different laws.
This is general information, not legal or tax advice. Entity choice has legal and tax consequences, so ask a lawyer and a CPA.
What is the meaning of Ltd vs LLC?
Ltd is short for limited, the usual ending of a UK private limited company's name. LLC is short for limited liability company, a US structure. The letters look alike, and the structures are not the same.
What is an Ltd?
An Ltd is a UK limited company. GOV.UK says a limited company is legally separate from the people who own it, and that you need to register it before you start trading. It must pay Corporation Tax on its profits. It must also file annual accounts with Companies House, and file a confirmation statement at least once every 12 months.
What is an LLC?
The IRS describes a Limited Liability Company as a business structure allowed by state statute. So an LLC is created under the law of a US state. In Utah, an LLC is registered and renewed through the state's online portal.
How are they taxed?
This is the biggest practical difference.
| Item | UK Ltd | US LLC |
|---|---|---|
| Created under | UK company law, registered at Companies House | State law, registered with the state (in Utah, through the online portal) |
| Business income tax | The company pays Corporation Tax on its profits | Depends on classification for federal income tax |
| Default federal tax treatment | Not applicable | Multi-member: partnership. Single-member: disregarded as separate from its owner |
| Other options | Not applicable | An LLC can elect to be treated as a corporation |
| Regular filings | Annual accounts and a confirmation statement | State registration renewals |
The IRS says a domestic LLC with at least two members is classified as a partnership for federal income tax purposes by default, and that a single-member LLC is disregarded as separate from its owner. An LLC can elect to be treated as a corporation. A UK Ltd has no equivalent default: it is the company that pays Corporation Tax.
Are they interchangeable?
No. Calling an LLC "the American Ltd" is a shortcut that hides the tax difference above. If you move a UK company to the US, or start a US company with a UK background, the right structure depends on your circumstances, and the advice belongs with a lawyer and a CPA who know both sides.
